PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE SIGNING UP FOR HALP. BY SIGNING UP AND USING HALP'S SERVICES, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS, WHICH GOVERN YOUR RELATIONSHIP WITH HALP TECHNOLOGIES CORPORATION ("HALP"). YOUR USE OF HALP SERVICES (THE "PROGRAM") INDICATES YOUR ACCEPTANCE OF AND AGREEMENT TO COMPLY WITH THESE TERMS AND CONDITIONS, INCLUDING ALL APPLICABLE POLICIES.
IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT SIGN UP OR USE HALP'S SERVICES. IF AT ANY TIME YOU NO LONGER WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MUST IMMEDIATELY CEASE USING HALP'S SERVICES AND PROVIDE WRITTEN NOTICE TO HALP.
As used in these terms and conditions, "You" or "Your" shall mean the individual signing up to use Halp Student Services.
1. Eligibility and Account Creation: To use our services, You must complete and submit the online registration. Initial approval of Your registration does not mean that all information or actions set forth in the registration comply with these Terms, and it is Your continuing duty to ensure Your compliance. Halp may reject Your registration and/or dismiss You from the Program at any time at our sole discretion.
You must provide accurate and complete information during registration.
You acknowledge and agree that You meet the following eligibility criteria:
You have read, understand, and agree to be bound by these Terms.
You are eighteen (18) years of age or older. If You are under 18 years old, a parent or legal guardian must register on Your behalf and agree to these Terms. The parent or guardian will be responsible for overseeing the minor's use of our services and ensuring compliance with these Terms.
You are responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. Halp cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
You agree to notify Halp immediately of any unauthorized use of your account or any other breach of security.
You are either an international student seeking to study abroad or a domestic student seeking to study within your home country.
2. Services Provided: Halp provides counseling and application assistance services to both international and domestic students seeking higher education opportunities. Our services may vary depending on your status as an international or domestic student.
Services for International Students:
Personalized guidance through the entire study abroad process
Assistance with discovering suitable institutions and programs
Support in submitting applications
Legal support for visa and study permit applications
End-to-end support, including assistance with post-acceptance matters such as arranging travel, finding accommodation, opening bank accounts, and getting phone plans
Guidance on college affordability, scholarship opportunities, and financing options
Services for Domestic Students:
Personalized guidance on higher education options
Assistance with discovering suitable institutions and programs
Verification process to confirm eligibility to study
Preparation for transition to institution recruitment
Guidance on college affordability, scholarship opportunities, and financing options
For all students:
Access to our online platform for managing communications throughout the process
Expert resources such as checklists, guides, and important tips through our learning hub
Please note that our services are subject to change. We may add, modify, or remove services at any time without prior notice. The lists above are not exhaustive, and the specific services available to you may vary based on your status as an international or domestic student.
3. User Responsibilities
You agree to:
Provide accurate information about your status as an international or domestic student.
Provide accurate and complete information throughout the application process.
You agree to keep your contact information up to date and promptly notify Halp of any changes.
Use our platform and services in a manner consistent with all applicable laws and regulations.
Respect the intellectual property rights of Halp and other users.
Maintain the confidentiality of any information provided to You through our services.
Understand and comply with all eligibility requirements for any incentives offered, acknowledging that these may change over time and are tied to specific time periods.
You agree not to:
Use our services for any unlawful purpose.
Attempt to gain unauthorized access to any part of our platform or services.
Interfere with or disrupt the integrity or performance of our services.
Harass, abuse, or harm another person, including any Halp employees while using our services.
Submit false or misleading information.
Submit any content protected by third-party intellectual property rights without permission.
Upload or transmit any unlawful, harmful, threatening, abusive, or defamatory content.
Transmit any destructive software or harmful components.
Harvest or collect information about other users without consent.
Use any automated system or software to extract data from our website or platform for any purpose without our express written consent.
Violate any applicable laws or regulations.
4. Privacy and Data Protection: Halp collects and processes personal information in accordance with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA). By using our services, website, or platform, You consent to the collection, use, and sharing of Your personal information as described in our Privacy Policy. You have the right to request access to, correction of, or deletion of Your personal data at any time. We retain personal data for as long as necessary to provide our services and as required by applicable laws. You may request deletion of your data at any time, subject to legal retention requirements. We may update our Privacy Policy from time to time. We will notify you of any material changes by posting the new Privacy Policy on this page and updating the 'last updated' date
5. Intellectual Property: All content on our website and platform, including but not limited to text, graphics, logos, images, and software, is the property of Halp or its content suppliers and is protected by international copyright laws. You are granted a limited, non-exclusive, non-transferable license to use our platform and services for Your personal, non-commercial use in connection with Your study abroad process.
You agree not to:
Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website or platform without our express written consent.
Purchase, use or register any domain name, social media profile name, handle, or identifier that incorporates any Halp Intellectual Property or any variations, derivatives or misspellings thereof.
Publish, host, or promote any material that misrepresents Your relationship with Halp or implies that You are an official site, authorized dealer, or otherwise specifically connected with or sponsored by Halp.
Use any of Halp's intellectual property in a way that could dilute or tarnish the Halp brand.
Trademarks: "Halp" is a trademark of Halp Technologies Corporation. Other marks, graphics, typefaces, trademarks, and logos appearing on the Website are trademarks or trade dress of Halp or their respective owners. Our trademarks and trade dress may not be used without our express prior written consent.
User-Generated Content: "User Content" refers to any information, data, or materials you submit to our platform, excluding personal identification documents. By submitting User Content, you grant Halp a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing and improving our services. You retain ownership of your User Content, but you represent and warrant that you have the necessary rights and permissions to post such content and that it does not violate any third-party rights or applicable laws.
Halp reserves the right to remove or modify any User Content that violates these Terms or that we deem inappropriate, harmful, or offensive in our sole discretion.
6. Third-Party Services: Halp facilitates connections with various third-party services to support your educational journey. These may include study permit legal teams, educational institutions, and other service providers. Please note:
Halp is not responsible for the actions, services, or fees of these independent providers.
Any fees for services not explicitly covered by Halp are to be paid directly by You to the service provider.
Our website may contain links to third-party websites for your convenience. Halp has no control over the content of linked websites and is not responsible for their accuracy, timeliness, or completeness.
Your use of any third-party services may be subject to separate terms and conditions. It is your responsibility to review and comply with these terms.
By using our services, you acknowledge that Halp's role is limited to facilitating connections, and you agree to hold Halp harmless for any issues arising from your interactions with these third-party services.
7. Indemnification: You will at all times defend, indemnify and hold harmless Halp (including, without limitation, all related and affiliated entities and their respective directors, officers, shareholders, agents and representatives) from and against any and all claims of whatever nature, including without limitation: (i) any violation of Law committed by You or Your agents; and/or (ii) Your use of the Program, and/or Your breach of any obligation, representation or warranty set forth in these Terms. Your obligation to indemnify and defend Halp as set forth in this Section shall include reimbursement of any and all legal fees and related costs and expenses incurred by Halp in connection with any such claim. The indemnification obligation survives termination of the Agreement.
8. Modifications to Services and Terms: Halp reserves the right to modify, suspend, or discontinue any part of its services, website, or platform at any time without prior notice. We may update these Terms from time to time. The most current version will be posted on our website with the effective date. Your continued use of our services, website, or platform after the posting of any changes constitutes Your acceptance of such changes. Halp reserves the right to modify, suspend, or discontinue any services or incentives at any time without prior notice. Incentives are only valid for the specific time period in which they are offered and cannot be claimed retroactively or in advance. We will notify you of any material changes to these Terms by email or through a prominent notice on our website at least 30 days before the change takes effect.
9. Termination: Halp reserves the right to terminate or suspend access to our services, website, or platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Upon termination, your right to use the service will immediately cease. We may retain certain information as required by law or as necessary for our legitimate business purpose. 10. Assignment: You may not assign or transfer these Terms, in whole or in part, without Halp's prior written consent. Halp may freely assign or transfer these Terms without restriction. Any attempted assignment by you without written consent shall be null and void.
11. Force Majeure: Halp shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond Halp's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation, acts of God, terrorist attacks, natural disasters, pandemics, changes in law or government regulations, labor disputes, or civil unrest.
12. Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties irrevocably submit to the exclusive jurisdiction of the courts of Ontario for any disputes arising out of or in connection with this Agreement.13. Dispute Resolution: Any dispute must be initiated within one (1) year after the claim or cause of action arises. Any dispute arising out of or relating to these Terms will be resolved through the following process:
The parties will first attempt to resolve the dispute through good-faith negotiations.
If negotiations fail, the dispute will be submitted to mediation under the rules of a mutually agreed upon mediation service.
If mediation is unsuccessful, the dispute will be resolved through binding arbitration conducted in accordance with the rules of the ADR Institute of Canada. The arbitration will take place in Toronto, Ontario, unless otherwise agreed by the parties. Arbitration will be conducted in English, as per Ontario's Arbitration Act.
14. DISCLAIMER AND LIMITATION OF LIABILITY: PLEASE NOTE THAT THE LAWS OF CERTAIN JURISDICTIONS, INCLUDING THE PROVINCE OF QUEBEC, MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF LEGAL WARRANTIES, CONDITIONS, REPRESENTATIONS, OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE BELOW EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
THE WEBSITE, INCLUDING ALL CONTENT AND SERVICES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. HALP DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
HALP DOES NOT WARRANT THAT:
THE FUNCTIONS ON THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR NEEDS
THE CONTENT, INCLUDING USER CONTENT, IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT
HALP DOES NOT ENDORSE SPECIFIC UNIVERSITIES AND ASSUMES NO RESPONSIBILITY FOR ANY STUDENT'S DECISIONS OR ACTIONS REGARDING UNIVERSITY SELECTION, ATTENDANCE, OR WITHDRAWAL.
HALP ACTS SOLELY AS A FACILITATOR IN THE STUDY ABROAD PROCESS. WE DO NOT GUARANTEE ADMISSION TO ANY INSTITUTION OR APPROVAL OF ANY VISA OR STUDY PERMIT.
IN NO EVENT SHALL HALP, ITS AFFILIATES, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OF, OR INABILITY TO USE, THE WEBSITE, SERVICES, OR ANY CONTENT, EVEN IF HALP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO:
YOUR USE OR INABILITY TO USE OUR SERVICES, WEBSITE, OR PLATFORM
ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE OR PLATFORM
ANY BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS THAT MAY BE TRANSMITTED THROUGH OUR WEBSITE OR PLATFORM
HALP DOES NOT GUARANTEE:
ACCEPTANCE INTO ANY SPECIFIC PROGRAM OR INSTITUTION
APPROVAL OF ANY VISA OR STUDY PERMIT
THE AVAILABILITY OR CONTINUATION OF ANY INCENTIVES
ANY INCENTIVES OFFERED ARE SUBJECT TO CHANGE WITHOUT NOTICE AND ARE ONLY VALID FOR THE SPECIFIC TIME PERIOD IN WHICH THEY ARE OFFERED. STUDENTS HAVE NO ENTITLEMENT TO INCENTIVES FROM PREVIOUS OR FUTURE TIME PERIODS, REGARDLESS OF WHEN THEY INITIATED THE APPLICATION PROCESS.
TO THE FULLEST EXTENT PERMITTED BY LAW, HALP'S TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES (OR, IF WE CHOOSE, TO SUPPLYING YOU THE SERVICES AGAIN).
YOU UNDERSTAND AND AGREE THAT WE CANNOT AND DO NOT GUARANTEE OR WARRANT THAT FILES AVAILABLE FOR DOWNLOADING FROM THE INTERNET OR THE WEBSITE WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE. YOU ARE RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY YOUR PARTICULAR REQUIREMENTS FOR ANTI-VIRUS PROTECTION AND ACCURACY OF DATA INPUT AND OUTPUT, AND FOR MAINTAINING A MEANS EXTERNAL TO OUR SITE FOR ANY RECONSTRUCTION OF ANY LOST DATA.
15. Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
16. Entire Agreement: These Terms, along with our Privacy Policy and any other legal notices posted on the Website, constitute the entire agreement between You and Halp regarding the use of our services.
